Stockholders Confirm Successful METRO AG Course

Düsseldorf, 23 May 2002 – With an impressive vote the stockholders of METRO AG approved the successful course of the company at the ordinary Annual General Meeting on 23 May 2002. During the voting on the items on the agenda the resolutions tabled by the Supervisory Board and the Executive Board were carried with a majority of nearly 100 per cent. For example, the Metro stockholders voted in favor of a dividend distribution of 1.020 € per ordinary share as well as 1.122 € per preferred share. New members elected to the Supervisory Board by the Annual General Meeting are Volker Claus, Auditor and Tax Consultant, as well as Dr. Hans-Jürgen Schinzler, Chairman of the Executive Board of Münchener Rückversicherungs-Gesellschaft. They succeed Dr. Joachim Theye who had left the Supervisory Board effective 31 December 2001, as well as Prof. Dr. Helmut Schlesinger who relinquished his mandate at the end of the Annual General Meeting. More than 66 per cent of the capital were represented at the AGM.

Immediately prior to the Annual General Meeting the Executive Board and the Supervisory Board of METRO AG had approved a Corporate Governance Code. This gives METRO AG a set of rules that encompasses the principles of value-oriented corporate management and corporate control. Dr. Körber paid tribute to the Corporate Governance Code as an instrument that served to enhance the transparency of responsible leadership at METRO AG thus contributing to securing and improving the high standards of the business activity of the group. "The trust of investors, customers, employees and the public at large in our company will be promoted and strengthened by the introduction of the code" elaborated Körber. The METRO AG Corporate Governance Code will be published shortly.
