Declaration of Compliance

Declaration of Compliance with the German Corporate Governance Code, made in Accordance with sec. 161 of the German Stock Corporation Act (Aktiengesetz, AktG), by the Management Board and the Supervisory Board of METRO AG

The Management Board and the Supervisory Board hereby declare that METRO AG fully complies with the recommendations of the Commission of the German Corporate Governance Code in its version of 14 June 2007 published by the Federal Ministry of Justice in the official part of the electronic Federal Bulletin.

Furthermore, the Management Board and the Supervisory Board declare that METRO AG has, without exception, complied with the applicable recommendations of the Commission since the last Declaration of Compliance in December 2006.
